Steps to Register a New Company in Hong Kong:
Choose your company name:
The company name must be unique and not already in use. You can check availability on the Companies Registry's Cyber Search Centre.
Your company name can be in English, Chinese, or both, but not a blend of both. An English name must end with "Limited", and a Chinese name must end with "有限公司".
Prepare the necessary documents:
Incorporation Form (Form NNC1 for limited by shares): This form contains key company details.
Articles of Association: These outline the company's internal rules and structure. Sample articles are available from the Companies Registry.
Notice to Business Registration Office (IRBR1): For business registration.
Identification documents: Copies of identification for directors, shareholders, and company secretary (Hong Kong ID for residents, certified passports for foreigners).
Proof of address: For all company members (e.g., bank statement, utility bill, driver's license dated within the last 3 months).
Meet the minimum requirements:
At least one shareholder: Can be an individual (18+ years old) or a corporate entity, of any nationality. A single individual can be both the director and shareholder.
At least one director: Must be a natural person (18+ years old) and can be of any nationality.
A company secretary: Must be a Hong Kong resident or a licensed Hong Kong Trust and Corporate Service Provider (TCSP). The sole director cannot also be the company secretary.
A registered office address in Hong Kong: This cannot be a P.O. Box. Professional service firms like Bestar can provide this.
Minimum share capital: HK$1.
Submit the application:
We can submit the application to the Companies Registry.
Applications for company incorporation also include a simultaneous application for business registration.
Receive your certificates:
Once approved, you will receive the Certificate of Incorporation and the Business Registration Certificate. Electronic applications are typically processed within one hour, while hard copy applications usually take about four working days.
One-Time Setup Costs (Initial Incorporation)
Company Incorporation Service Fee:
This covers the preparation of all necessary documents (Articles of Association, NNC1 form, IRBR1, etc.), submission to the Companies Registry, coordination, and does not include the company chop (seal).
Fee: HK$4,600 (includes Certificate of Incorporation (CI) government fee and initial company secretary.)
Company Secretary Services (Mandatory):
Every Hong Kong company must have a company secretary who is a Hong Kong resident or a licensed corporate service provider. Bestar will provide this service.
Fee: HK$2,100 per year (Initial company secretary is included in the Company Incorporation Service Fee.)
Registered Office Address Service (Mandatory):
Every Hong Kong company must have a physical registered office address in Hong Kong (not a P.O. Box). Bestar can provide this.

How to Get Started with Our Services
Here are the steps:
Consultation & Proposal:
Receive a proposal/quote: We will discuss your business needs to tailor our services and provide a comprehensive proposal, including a detailed quotation for our fees and government charges.
Payment:
Once you agree to the proposal, you'll make the payment for the agreed-upon services.
Provide Required Information & Documents:
Complete forms: We will send you forms like a "Company Incorporation Form", "KYC (Know Your Client) Form", and a "PDPA Consent Form" to gather necessary details about your proposed company, directors, and shareholders.
Submit identification: You'll need to provide scanned copies of passports/NRICs and proof of residential address for all directors and shareholders. For foreign documents, these may need to be notarized.
Incorporation Process:
Bestar will then proceed with the submission of the incorporation application to CR.
We will keep you updated on the progress. Typically, incorporation can be completed within 5 to 7 business days once all documents are in order and submitted to CR.
Post-Incorporation:
Upon successful incorporation, you'll receive the Certificate of Incorporation and Business Registration Certificate.
Bestar will then assist with opening a bank account and setting up any ongoing services (corporate secretarial, accounting, etc.) you've engaged us for.
