This Agreement is made on [Date]

WHEREAS:
The Client wishes to engage the Reviewer to review a certain contract (the "Contract") relating to [Brief Description of Contract Subject Matter].
The Reviewer agrees to provide the requested review services.
NOW, THEREFORE, IT IS HEREBY AGREED as follows:
1. Scope of Services:

3. Fees and Payment:

This limitation of liability does not apply to cases of fraud or gross negligence.
6. Termination:

In the event of termination, the Client shall pay the Reviewer for services rendered up to the date of termination.
7. Governing Law and Jurisdiction:
